Chapter I: General Provisions
Article 1: The name of the Consortium shall be the China-ASEAN University Consortium on Medicine and Health.
Article 2: The Consortium, a non-profit international cooperative platform for medical education, medical research and medical service, is established by universities from China and ASEAN countries. The aim of the Consortium is to promote in-depth exchange and cooperation in the fields of medical education, medical research and health care among universities/ medical institutions in China and ASEAN countries, promote the development of regional medical education and medical research, improve medical talents cultivation and health service, improve the health of the people in the region, and contribute to the development of medicine and health in the region and around the world.
Article 3: The Consortium’s guiding principles are as follows: based on the principles of extensive consultation, joint contribution and shared benefits, aiming to improve people's health and well-being in China and ASEAN countries, the Consortium will act in the spirit of "peace and cooperation, openness and inclusiveness, mutual learning and mutual benefit", and strive to promote cooperation and exchange in the fields of medical education, medical research and health care, create a multilateral and bilateral cooperation mechanism and new cooperation models, and march on together to the road of better regional health.
Chapter II: Consortium’s Function
Article 4: “China-ASEAN University Consortium on Medicine and Health”, which is an important carrier for strengthening all-round development of exchange and cooperation on medical education, medical research and health care in the region, aims at building a platform for communication and cooperation in medical talents training, medical research and health care, and hopes to be an influential brand of regional cooperation on medical education, medical research and health care. The main functions of the Consortium are as follows:
1. Integrating resources and building platforms
Integrating and making the best of the resources and advantages of the Consortium members, the Consortium will provide a platform to
? share experiences in the areas of medical education, scientific research and health care;
? implement exchange programs, training programs and joint education programs for students, faculties and doctors, and thus provide intellectual backup for the development of regional medical education and health care services;
? organize joint symposiums, conduct joint research programs, establish joint labs to address common health problems and advance the level of medical research in the region;
? develop regional cooperation on issues related to health care, health policies and global health, and explore solutions for major regional and global health problems;
2. Promoting cooperative innovation and technology transformation
The Consortium will promote cooperative innovation among Consortium members, and encourage them to work together to explore solutions to new problems in medical education, medical research, hospital management and health industry;
The Consortium will actively support and provide platforms for its members to carry out joint medical research projects, attaching great importance to technology transformation and patent application and new technology promotion and application.
3. Providing mechanism guarantee for sustainable development
The Consortium will endeavor to gain resources from the governments and societies through its platform, explore opportunities for financial support through multiple channels, support the Consortium members to apply for relevant funding, and thus provide a mechanism for the Consortium’s sustainable development.
Chapter III: Membership
Article 5: A total of 43 universities/ medical institutions in China and ASEAN countries are the co-initiators of the Consortium, that is, the Founding Members of the Consortium Council. The Consortium shall enroll new members gradually. Any universities/ medical institutions who agree to the articles of the Consortium’s Charter and are willing to fulfill obligations stated in the Charter can apply to join the Consortium and get the membership with the approval of the Council.
Article 6: Any member may resign from the Consortium by submitting a written application to the secretariat at least 30 days before the Annual General Assembly, and can resign when half of the Council members have approved it.
Article 7: Any member who violates the Charter or the general principles stated in the Charter shall be removed from the Council when half of the Council members have approved it.
Article 8: Rights of the Consortium members
All members have the right to
1. take part in the general assemblies of the Consortium, and discuss and vote for important policies, decisions and issues.
2. propose to the Permanent Secretariat to convene interim meetings of the Consortium or the Council.
3. send representatives to participate in permanent secretariat meetings.
4. make suggestions on the revision of the Consortium’s charter; and supervise and give suggestions on the Consortium’s work.
5. enjoy the priority of cooperation and sharing relevant information with the Consortium members in agreed areas.
6. voluntarily participate and exit
Article 9: Obligations of the Consortium members
All members shall
1. acknowledge and adhere to the Consortium’s charter.
2. actively participate in the Consortium’s activities, implement the Consortium’s decisions, and protect the Consortium’s legitimate rights and interests.
3. provide relevant information to the Consortium in the cooperative fields.
4. maintain the shared information in the Consortium in confidence.
5. complete other work assigned by the Consortium.
Chapter IV: Organizational Structure
Article 10: The Consortium has the following main bodies:
1. The Council
2. Presidency: A Presidency shall be set up respectively in China and ASEAN
3. Permanent Secretariat: A Permanent Secretariat shall be set up respectively in China and ASEAN. In China, Peking University Health Science Center will host the Permanent Secretariat while in ASEAN countries, Faculty of Medicine Siriraj Hospital, Mahidol University will host the Permanent Secretariat.
4. Working Groups: A working group at each Council Member Institution shall be set up.
Article 11: The Council and Presidency are the executing agencies, who are responsible for the Consortium.
Article 12: The Council Members shall consist of the representatives from the leadership of the Consortium Member Institutions. The President of the Presidency Institution shall be its President/Dean or Vice President/Dean. The Permanent Secretariat shall have one Secretary-General from China side and one from ASEAN side. A working group shall be established at each Council Member Institution, who shall work closely with the Permanent Secretariat.
Article 13: Responsibilities of the Council, Presidency, Permanent Secretariat and Working Group
1. Responsibilities of the Council:
(1)To discuss and approve the decisions about amending the charter of the Consortium
(2)To discuss and review the Consortium’s development strategy and annual work plans
(3)To discuss and review the Consortium’s annual work report
(4)To discuss and approve the admission and removal of the Consortium’s members
(5)To discuss and approve other important issues
2. Responsibilities of the Presidency:
A Presidency shall be set up respectively in China and ASEAN. The Presidency is responsible for drawing up regulations, as well as planning, promoting, coordinating and managing regular and long-term work,organizing the annual General Assembly, recording and coordinating irregular or temporary work, and reporting working process to the Council.
3. Responsibilities of the Permanent Secretariat:
A Permanent Secretariat shall be set up respectively in China and ASEAN. The Permanent Secretariat’s responsibilities include:
· To maintain liaison among the members.
· To sort out documents.
· To release announcements.
·To implement decisions.
· To organize, manage and coordinate issues.
· To provide a framework for team-support.
4. Responsibilities of Working Groups:
The Working Groups shall work in coordination with the Permanent Secretariat, and be responsible for the implementation of the routine affairs of the Consortium.
Chapter V: Working Rules
Article 14: The Council shall meet at least once a year. Meetings may be held in virtual location in some special cases. The Presidency Institution and the secretariat shall record the meetings timely.
Article 15: The Presidency shall be elected for a term of two years.
Article 16: Any Consortium member who wants to adjust their representative in the council and the work group shall submit written materials to the secretariats.
Chapter VI: Amendments
Article 17: This Charter can be amended only through a resolution proposed by at least one quarter of the council members. The resolution must be submitted in writing at least 60 days before a scheduled General Assembly and approved by at least two-thirds of those eligible to vote in the General Assembly.
